1. Acceptance of Terms

By accessing or using A22 you agree to be bound by these Terms of Service, our Privacy Policy, and all policies incorporated by reference. If you do not agree, do not use the platform.

These Terms apply to all visitors, registered users, business customers, and creators. "A22", "we", "us", or "our" refers to the A22 platform and its operators. "You" refers to the individual or entity accessing the platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. If you access the platform on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

By creating an account, you confirm that the information you provide is accurate, complete, and up to date, and that you will maintain its accuracy throughout your use of the platform.

3. Platform Role — Marketplace Only

A22 is a marketplace and payment facilitator only. A22 does not create, build, own, operate, or control any AI Employee listed on the platform. All AI Employees are independently created and operated by third-party Creators who are solely responsible for their software.

A22 acts solely as the intermediary that enables Creators to list their automations and businesses to discover and hire them. A22 expressly disclaims all liability for:

• The accuracy, quality, legality, safety, or fitness for purpose of any AI Employee;
• Any output, recommendation, or decision made by or based on any AI automation;
• Any direct, indirect, incidental, or consequential business loss arising from use of an AI Employee;
• Bugs, errors, downtime, or failure to perform by any AI Employee;
• Integration failures or data loss with third-party tools;
• Any act or omission of any Creator.

4. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@a22team.com if you suspect any unauthorised access to your account.

You may not share your account, use another person's account, or create multiple accounts for deceptive purposes. We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

5. Marketplace Rules

All users agree not to use the platform to:

• Engage in any illegal activity, including fraud, money laundering, or unlicensed financial services;
• Upload, transmit, or distribute malware, spyware, or malicious code;
• Scrape, crawl, or systematically extract data from the platform without written permission;
• Attempt to gain unauthorised access to any account, system, or network;
• Create fake accounts, reviews, or usage data;
• Circumvent, disable, or interfere with security-related features of the platform;
• Violate any third-party intellectual property, privacy, or other rights;
• Solicit direct payments from users discovered through the platform, bypassing our billing system.

Violations may result in immediate account suspension or termination, legal action, and reporting to relevant authorities.

6. Creator Responsibilities

Creators are independent third parties — not employees, agents, or representatives of A22. By submitting a listing, Creators represent and warrant that:

• All listing information (name, description, tasks, pricing, integrations) is accurate and not misleading;
• The automation functions as described at the time of listing and throughout the subscription period;
• They own or have all necessary rights to list the submitted automation;
• The submission does not infringe any third-party intellectual property rights;
• The submission does not contain malware, spyware, or deceptive functionality;
• They comply with all applicable laws, including data protection and AI regulation;
• They maintain a valid, monitored support email address displayed on their listing;
• They respond to verified urgent support requests from paying subscribers within 7 business days.

Creators bear full and exclusive responsibility for the correct, lawful operation of their software. Failure to maintain a functioning automation or respond to support requests may result in delisting and forfeiture of pending payouts.

7. Customer Responsibilities

Business customers who hire AI Employees agree to:

• Use each AI Employee only for the purposes described on its listing and for lawful internal business operations;
• Not reverse-engineer, decompile, copy, sublicense, or resell access to any AI Employee;
• Ensure they have the right to share any data they connect to an AI Employee and that doing so complies with their own legal obligations, including GDPR;
• Contact the Creator directly for operational issues, bugs, and support requests before escalating to A22;
• Not attempt to discover or extract the Creator's underlying automation logic, prompts, or configurations.

A22 does not have access to the content of your connected accounts and does not provide technical support for individual AI Employees. For urgent unresolved issues, contact us at info@a22team.com.

8. Payments & Subscriptions

All payments are processed by PayPal. By making a payment you agree to PayPal's User Agreement and Privacy Statement. A22 does not store, process, or transmit payment card data.

Subscriptions are billed monthly or annually in advance and auto-renew unless cancelled before the renewal date. Your renewal date is shown in your dashboard.

Usage overages: each subscription includes a set number of units per month. Usage above the included amount is billed at the per-unit rate shown on the listing.

Creator payouts: Creators receive 85% of gross payments after PayPal transaction fees. A22 charges a 15% platform fee on earnings. Payouts are sent monthly to the PayPal email in your creator dashboard.

Pricing changes: A22 and Creators may change pricing at any time with at least 30 days' notice to existing subscribers. You may cancel without penalty before any price change takes effect.

9. Refund Policy

You may cancel any subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued. Access continues until the end of the billing period.

We offer refunds at our sole discretion only in the following circumstances:

• A technical defect prevents any use of the purchased AI Employee and the Creator does not resolve it within 7 business days of a written complaint submitted to info@a22team.com; or
• You were charged in error.

Refund requests must be submitted within 14 days of the charge. We do not offer refunds for change of mind, partial use, or performance that did not meet expectations. Approved refunds are returned via PayPal within 3–5 business days.

One-time self-hosted licences are non-refundable once a licence key has been issued.

10. Intellectual Property

The A22 name, logo, website design, and original platform content are owned by or licensed to A22 and may not be reproduced without written permission.

Creator IP: Creators retain full ownership of all intellectual property in their AI Employees, including automation workflows, prompts, configurations, and underlying software. Nothing in these Terms transfers ownership of Creator IP to A22 or to any buyer. By submitting a listing, Creators grant A22 a non-exclusive, worldwide, royalty-free licence to display and distribute the listing as needed to operate the marketplace.

Buyer licence: Upon purchasing a subscription or one-time licence, buyers receive a limited, non-exclusive, non-transferable, revocable licence to use the AI Employee solely for their own internal business operations during the active subscription or licence period.

11. AI Content Disclaimer

AI Employees are software automations — they are not human workers, employees, contractors, or agents of A22. Outputs generated by AI Employees, including messages, recommendations, reports, and any other content, are automated software outputs and do not constitute professional, legal, medical, financial, or regulatory advice of any kind.

AI Employees may produce inaccurate, incomplete, or contextually inappropriate outputs. Large language models can "hallucinate" — generating plausible-sounding but incorrect information. A22 and Creators do not warrant the accuracy, completeness, or fitness for purpose of any AI output.

You are solely responsible for reviewing AI outputs before acting on them. The use of AI in business processes may be subject to laws and regulations in your jurisdiction, including the EU AI Act. You are responsible for ensuring your use of AI Employees complies with all applicable law.

12. Service Availability

A22 does not guarantee uninterrupted availability of the platform or any AI Employee. We may modify, suspend, or discontinue the platform (or any part of it) at any time, with or without notice. A22 is not liable for any loss or damage arising from platform downtime or unavailability.

THE PLATFORM AND ALL AI EMPLOYEES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED OPERATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A22'S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO A22 IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) EUR 100. A22 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

If you are an EU consumer, nothing in these Terms affects your mandatory statutory rights under EU consumer protection law.

14. Account Suspension & Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behaviour, or if required by law.

You may delete your account at any time by contacting info@a22team.com. Upon termination, your right to access the platform ceases immediately. Active subscriptions will be cancelled and no further charges will be made after the current billing period. Creator payouts for completed periods will be honoured.

Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.

15. Governing Law & Dispute Resolution

These Terms are governed by applicable law. We encourage you to contact us first at info@a22team.com to resolve any dispute informally — most issues can be resolved this way.

Nothing in these Terms limits any mandatory rights you have under the consumer protection or data protection laws of your country of residence. If you are an EU consumer, you may bring disputes before the courts of your country of habitual residence and access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email and by updating the effective date and version number above. Your continued use of the platform after any change constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the platform and may request account deletion at info@a22team.com.
